The relationship between the user and LIT Network AI LLC regarding the user's use of LIT Network AI LLC's Services is governed by this Agreement and other relevant LIT Network AI LLC policies.
If the user installs, uses, or accesses the Services in any other way, it indicates that the user accepts the terms of this Agreement. Otherwise, the user shall not install, use, or access the Services in any other way.
Limited License
Subject to this Agreement and other relevant policies of LIT Network AI LLC, LIT Network AI LLC grants the user a non-exclusive, non-transferable, non-sublicensable, revocable, and limited license to access and use the Services for the user's own non-commercial entertainment purposes. The user shall not use the Services for any other purpose.
License Restrictions. Unless the user complies with the license restrictions, use of the Services is prohibited, and LIT Network AI LLC has the right to revoke the user's license. In addition, the user shall be liable for any violation of law. Under no circumstances may the user:
Violate any law, including but not limited to intellectual property laws;
Take any action against the user community, LIT Network AI LLC's employees, LIT Network AI LLC itself, the spirit or intent of the Services, or misuse LIT Network AI LLC's Services; including but not limited to posting, publishing, uploading, or sharing any information, photos, or videos that could be construed as Restricted Content or a violation of good manners;
Directly or indirectly use cheats, exploits, automation software, bots, hacks, mods, or any other unauthorized third-party software to modify or interfere with the Services.
LIT Network AI LLC may determine in its sole discretion what improper conduct should be considered a violation of this Agreement and take appropriate measures, including deleting user content, terminating the user's account, prohibiting the user from using the Services, or taking any other measures permitted by law.
Account and Service Termination
Notwithstanding other remedies available to LIT Network AI LLC, if LIT Network AI LLC believes that the user has violated this Agreement or the law, LIT Network AI LLC may, in its sole discretion, restrict, suspend, terminate, modify, or delete the account, Service access, or parts thereof. LIT Network AI LLC shall not be liable for any loss of the user's account, virtual items, and other rights, benefits, and privileges related to the use of the Services resulting from such decisions by LIT Network AI LLC. If LIT Network AI LLC believes that the user's conduct violates any law and third-party rights (including but not limited to intellectual property rights) and may subject LIT Network AI LLC or its affiliates to legal proceedings, LIT Network AI LLC may also take other technical and legal measures to prevent users who violate this Agreement or the law from accessing the Services.
Any account that has been inactive for 180 consecutive days may be terminated at LIT Network AI LLC's sole discretion. LIT Network AI LLC has the right to stop supporting or providing the Services at any time for any reason. In such case, the user's license will terminate immediately. LIT Network AI LLC shall not be liable for any loss of benefits, privileges, or funds resulting from the termination of the Services.
The user may terminate their account at any time for any reason by notifying LIT Network AI LLC that the user wishes to terminate the account. Please contact us at: [email protected]
Ownership
LIT Network AI LLC is the owner and holds all rights, title, and interests, including but not limited to all intellectual property rights or other proprietary rights relating to:
Games and Services – including but not limited to any games, titles, computer code, themes, objects, characters, character names, stories, dialogue, catchphrases, concepts, artwork, animations, sounds, musical works, audio-visual effects, methods of operation, moral rights, documentation, in-game chat logs, character profile information, game recordings made using LIT Network AI LLC's game client, and LIT Network AI LLC's game client and server software.
User Content
The user warrants that their User Content complies with this Agreement and all relevant laws and regulations, including but not limited to intellectual property laws. The user agrees that LIT Network AI LLC will process User Content in accordance with its policies. LIT Network AI LLC has the right to monitor, record, or store the user's interactions with the Services, LIT Network AI LLC, or other players during the user's use of the Services. LIT Network AI LLC may also edit, refuse to post, or delete any User Content.
However, LIT Network AI LLC is not responsible for any User Content; the sole responsibility for User Content lies with the user. The user uses the Services at their own risk. LIT Network AI LLC is particularly not responsible for monitoring user content or conduct. Notwithstanding other provisions of this Agreement or law, LIT Network AI LLC still has the right to take other remedies, but the user shall indemnify LIT Network AI LLC for any losses suffered as a result of the user's User Content, including but not limited to losses arising from compensation to other users, court, government, or other competent authority rulings.
User Content License
The user hereby grants LIT Network AI LLC an irrevocable, perpetual, transferable, fully paid-up, royalty-free, worldwide license to use the User Content. This license authorizes LIT Network AI LLC to use the User Content for any purpose, including marketing and promotion of the Services in all fields of use known at the time of authorization (particularly the following fields):
Any recording and reproduction, making of copies on any system or format, in analog or digital technology, on any medium (including audio or video media, paper or similar media, photosensitive media, magnetic media, optical media, discs, storage media, computer media, and other storage media and memory);
Any other means of distribution, including:
Any broadcasting and rebroadcasting, including by wire or wireless means, by terrestrial radio, satellite, cable, telecommunications or multimedia systems, or other transmission systems (including simulcast or webcast), in uncoded or coded form, in open or closed circuit, using any technology (including analog or digital), system or format, whether recordable or not, including text, multimedia, internet, telephone, or telecommunications services.
Therefore, LIT Network AI LLC may, in particular, copy, reproduce, fix, adapt, modify, create derivative works, manufacture, commercialize, publish, distribute, sell, license, sublicense, transfer, rent, transmit, publicly display, publicly perform, or provide electronic access, broadcast, communicate to the public by telecommunications, display, perform, enter into computer memory, and in any way use and practice the User Content and all modified and derivative works thereof.
Disclaimer
LIT Network AI LLC does not warrant that the Services will be accessible to the user at the time or place chosen by the user, nor that the Services will be error-free, free of viruses or other harmful components, nor that the Services are suitable for the user's intended purposes.
Limitation of Liability
To the extent permitted by law, LIT Network AI LLC shall not be liable to the user for any damages, including loss of revenue, loss of profits, data loss, business interruption, or other losses, unless such damages result from LIT Network AI LLC's gross negligence or willful misconduct. This Agreement does not affect any statutory rights of consumers.
Indemnification
The user undertakes to indemnify LIT Network AI LLC (and its officers, directors, subsidiaries, joint ventures, and employees) from and against any claims, demands, damages, or other losses (including reasonable attorneys' fees and agent fees) arising out of any third party resulting from the user's use of the Services or the user's violation of this Agreement.
Governing Law and Dispute Resolution
This Agreement and any disputes arising therefrom, or any disputes arising from LIT Network AI LLC's Privacy Policy or Terms of Service, shall be governed by the laws of the United States. Any claim arising therefrom shall be subject to the exclusive jurisdiction of the competent courts of the United States.
If any dispute arises between the user and LIT Network AI LLC, the user is strongly encouraged to first contact LIT Network AI LLC directly to seek a resolution by sending an email to [email protected].
Severability
If any provision of this Agreement or LIT Network AI LLC's Privacy Policy is held by any competent court to be illegal or unenforceable in whole or in part, that provision shall be invalid only to the extent of such invalidity or unenforceability within that jurisdiction, and the other provisions shall remain unaffected.
Right of Assignment
LIT Network AI LLC may assign all or part of this Agreement or related policies to any person or entity at any time without the user's consent.
Right of Modification
LIT Network AI LLC reserves the right to modify this Agreement when necessary, particularly in the event of legal reasons or changes to the Services. In such cases, LIT Network AI LLC will notify the user and post the text of the modified Agreement along with the date of modification on LIT Network AI LLC's website.
